Terms of Service — Pay & Upload

These Terms of Service ("Terms") form an agreement between DELUNA LIMITED ("DELUNA", "we", "us", or "our") and the person or entity that installs, accesses, or uses Pay & Upload (the "App", "you", or "Merchant"). By installing or using the App, you confirm that you have authority to bind the Merchant and agree to these Terms.
If you do not agree, do not install or use the App.
1. The service
Pay & Upload provides tools that may allow a Merchant to configure post-checkout payment instructions, display those instructions on supported Shopify pages, collect order-linked receipt files, and review receipt status from Shopify Admin.
The App is not a bank, card network, payment institution, escrow service, accounting adviser, or fraud-detection guarantee. A receipt image or an “approved” status in the App does not prove that funds have settled, cannot be reversed, or are free from fraud. The Merchant is solely responsible for verifying payment with its bank, wallet, payment provider, or accounting records before fulfilling an order.
2. Eligibility and Shopify account
You must maintain an eligible Shopify store and comply with Shopify’s applicable terms and policies. You are responsible for:
- keeping Shopify and staff credentials secure;
- granting only permissions needed by authorized personnel;
- the acts and omissions of users accessing the App through your store;
- ensuring that your use of the App is lawful in every location where you operate or sell.
3. Merchant content and configuration
“Merchant Content” includes payment-method names, instructions, account details, links, QR content, branding, notes, receipt files, and other material submitted to or displayed through the App.
You retain ownership of Merchant Content. You grant DELUNA a limited, non-exclusive right to host, process, transmit, display, copy, and delete Merchant Content only as reasonably necessary to provide, secure, support, and comply with law in relation to the App.
You represent that you have all permissions and lawful bases required to submit and process Merchant Content. You must ensure that:
- payment instructions, links, currencies, account details, and QR content are accurate and authorized;
- manual payment method names are configured correctly;
- customers are not asked to upload unnecessary sensitive information;
- receipt review decisions are made by authorized and appropriately trained staff;
- Merchant Content does not infringe rights, mislead customers, distribute malware, or facilitate unlawful conduct.
4. Customer receipts and privacy
You determine why customer receipts are collected and how they are used. You are responsible for providing all notices, obtaining any required consent, responding to customers, and complying with privacy, consumer, financial, tax, accounting, record-keeping, and anti-fraud laws.
You must not use the App to collect full payment-card numbers, security codes, bank passwords, authentication credentials, government identity documents, health information, or other sensitive information unless DELUNA has expressly agreed in writing and suitable legal and security controls are in place.

5. Acceptable use
You must not:
- access another merchant’s data or attempt to bypass authorization controls;
- upload malicious, unlawful, deceptive, infringing, or abusive content;
- probe, scan, overload, reverse engineer, or disrupt the App except where a non-waivable law permits it;
- use the App to misrepresent payment status or deceive a customer, bank, payment provider, Shopify, or another party;
- resell, sublicense, or provide the App as a service bureau unless we agree in writing;
- use automated means that materially exceed documented limits or impair the service;
- remove legal, attribution, or security notices.
We may suspend access reasonably necessary to stop abuse, protect data, comply with law or Shopify requirements, or respond to a security incident. Where practicable, we will notify the Merchant and explain how access may be restored.
6. Plans, trials, and billing
Paid subscriptions are billed through Shopify Billing. Available plans, limits, trial periods, and prices are shown before a Merchant approves a charge and may also be described on our pricing page.
Unless the Shopify approval screen states otherwise:
- subscription fees recur until cancelled;
- a trial converts to the selected paid plan at the end of the trial unless cancelled beforehand;
- taxes and currency conversion may be applied by Shopify or the Merchant’s payment provider;
- plan limits apply to the store, not separately to each staff user;
- changing or cancelling a plan may change available upload, retention, or configuration limits.

7. Retention, exports, and deletion
Receipt availability depends on the selected plan and Merchant settings. The Merchant is responsible for exporting any records it must retain before expiry, downgrade, or uninstall. After receipt availability expires, the App keeps the private image for 90 additional days before permanent deletion and keeps the remaining database receipt record for 730 additional days before permanent deletion, subject to the Privacy Policy and applicable law.
Uninstalling the App stops normal access and triggers Shopify’s privacy-deletion lifecycle. Some data may remain temporarily until Shopify sends the required redaction request, a retention job runs, or protected backups expire. Details are in our Privacy Policy.
8. Third-party services
The App depends on Shopify and may interact with merchant-selected banks, wallets, links, QR schemes, hosting providers, or other third-party services. Third-party services are governed by their own terms, availability, security, and privacy practices.
DELUNA does not control and is not responsible for a third party’s outage, declined transaction, settlement, chargeback, exchange rate, fee, account restriction, link destination, or policy change. The Merchant is responsible for maintaining any required third-party account and authority.
No third-party payment integration may be used through the App unless it is enabled by DELUNA for the Merchant’s version and permitted by Shopify and applicable law.
9. Intellectual property and feedback
The App, documentation, branding, software, and related rights are owned by DELUNA or its licensors. Except for the limited right to use the App under these Terms, no rights are transferred to the Merchant.
If you provide suggestions or feedback, you grant DELUNA a worldwide, perpetual, irrevocable, royalty-free right to use them without restriction or compensation, provided we do not publicly identify you without permission.
10. Service changes and availability
We may improve, modify, or discontinue features to address security, law, Shopify platform changes, third-party changes, or product development. We will provide reasonable notice of a material reduction to a paid service where practicable.
We do not promise uninterrupted or error-free availability. Any service-level commitment applies only if set out in a separate written agreement signed by DELUNA.
11. Confidentiality
Each party may receive non-public business or technical information from the other. The receiving party will use reasonable care to protect confidential information and use it only for the relationship under these Terms. This obligation does not apply to information that is public without breach, already lawfully known, independently developed, or lawfully received without restriction.
Disclosure is permitted where legally required, provided notice is given where lawful and reasonably practicable.
12. Warranties and disclaimers
Each party represents that it has authority to enter these Terms.
To the maximum extent permitted by law, the App is provided “as is” and “as available.” DELUNA disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty that the App will verify payment, prevent fraud, satisfy a Merchant’s legal duties, or operate without interruption or error.
Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.
13. Limitation of liability
To the maximum extent permitted by law, DELUNA will not be liable for indirect, incidental, special, exemplary, punitive, or consequential loss, or for lost profits, revenue, goodwill, data, business opportunity, or anticipated savings arising from the App.
DELUNA’s total aggregate liability arising from the App during the twelve months before the event giving rise to the claim will not exceed the greater of (a) the fees paid by the Merchant for the App during that twelve-month period or (b) US$100.
These limitations do not apply where liability cannot legally be limited, including liability for fraud or wilful misconduct where applicable.
14. Indemnity
To the extent permitted by law, the Merchant will defend and indemnify DELUNA against third-party claims, losses, and reasonable costs arising from Merchant Content, the Merchant’s payment instructions or receipt decisions, unlawful use of the App, or breach of these Terms, except to the extent caused by DELUNA’s breach, negligence, or wilful misconduct.
15. Term and termination
These Terms begin when the App is installed or first used and continue until terminated. The Merchant may terminate by cancelling any paid plan and uninstalling the App.
We may terminate or suspend the service for material breach, non-payment, unlawful or unsafe use, Shopify direction, or where continued service is no longer reasonably possible. Except for urgent security, legal, or abuse cases, we will give reasonable notice and an opportunity to cure a remediable breach.
Sections that by their nature should survive termination, including payment obligations, intellectual property, confidentiality, disclaimers, liability, dispute terms, and necessary data-retention provisions, will survive.
16. Governing law and disputes
These Terms are governed by the laws of Hong Kong SAR, without regard to conflict-of-law principles. The courts of Hong Kong SAR will have exclusive jurisdiction, unless applicable consumer or mandatory law requires otherwise.
Before commencing formal proceedings, each party will attempt in good faith for at least 30 days to resolve the dispute through written notice and discussion.
17. Changes to these Terms
We may update these Terms for legal, security, platform, or product reasons. We will post the revised Terms, update the effective date, and provide additional notice for material changes where required. Continued use after the effective date constitutes acceptance where permitted by law.
